Sensys Traffic's new share issue with pre-emptive rights has been fully subscribed

Sensys Traffic AB (publ) has completed the new issue of shares and warrants with pre-emptive rights adopted by the extraordinary general meeting of shareholders held on 19 March 2012. The new issue has been fully subscribed and will provide the Company with SEK 28.8 million before issue costs.
This announcement may not be released, published or distributed, directly or indirectly, in or into the United States, Canada, Australia, New Zealand, Hong Kong, Japan or South Africa.
The new issue was subscribed 94.7 percent with the support of subscription rights and 5.3 percent without the support of subscription rights. The new issue has thereby been fully subscribed, and implies that Sensys Traffic will be provided with approximately SEK 28.8 million before issue costs. The total subscription without support of subscription rights amounted to 88.5 percent of the issue, which implies that the new issue all in all was oversubscribed by 83.2 percent.
Units subscribed for without the support of subscription rights have been allocated in accordance with the terms and conditions set forth in the issue resolution. Information regarding such allocation will be provided through the contract note sent to each respective subscriber. Payment for allocated units shall be made in accordance with the instructions contained in the contract no later than 25 April 2012.
The new issue implies that the share capital will increase by SEK 9,596,757.60 through the issue of 191,935,152 shares. Further to the issue, the share capital will amount to SEK 23,991,894.30 divided among 479,837,886 shares with a nominal value of SEK 0.05.
The new issue furthermore implies the issue of 31,989,192 warrants of series 2012/2013:A and 31,989,192 warrants of series 2012/2013:B. The warrants entitle the holder to subscribe for an equal number of shares in the Company in March and September 2013. Upon full subscription of shares through the warrants, the share capital will increase in total by a further maximum of SEK 3,198,919.20 through the issue of a total further maximum of 63,978,384 shares. The subscription price for warrants of series 2012/2013:A is SEK 0.30 per share and the subscription price for warrants of series 2012/2013:B is SEK 0.60 per share. Upon full subscription, Sensys Traffic will thereby be provided with a further amount of approximately SEK 28.8 million in 2013.
Paid subscription units (BTU) will be traded on NASDAQ OMX Stockholm up until such time as the issue has been registered with the Swedish Companies Registration Office (Bolagsverket), and will thereafter be replaced by shares and warrants. Such is estimated to take place in the middle of May 2012. Sensys Traffic intends to apply for trading of the warrants initially on NASDAQ OMX Stockholm and secondly on another market place.
