Proposal for new director of the board in SENSYS Traffic

As set out in the notice to the extraordinary general meeting in SENSYS Traffic AB (publ) (“Sensys Traffic” or the “Company”) to be held on Friday, 24 July 2015, it is proposed that an additional director is elected to the board of directors of Sensys Traffic as a result of Sensys Traffic’s acquisition of Gatso Beheer B.V. (“Gatso Beheer”).
The board of directors and Gatso Beheer propose Mr Jochem Garritsen as new director of the board. Jochem Garritsen is currently Head of Services Sales at Nokia and has worked in the telecommunication industry in the Netherlands and internationally for over 16 years. Jochem Garritsen is considered to be independent of the major shareholders of Sensys Traffic (future Sensys Gatso Group AB (publ)) as well as of the Company and its senior management. Jochem Garritsen’s great experience of software companies and international business structures will be a good complement to the current knowledge profile of Sensys Traffic’s board of directors. The nomination of Jochem Garritsen as director is supported by Sensys Traffic’s current major shareholders as well as by Gatso Beheer’s board of directors and the senior management in both companies.
Jochem Garritsen was born in 1972 and holds a Master of Science degree in Systems Engineering, Policy Analysis and Management from University of Delft. Jochem Garritsen does not hold any shares or other financial instruments.
It is proposed that Jochem Garritsen receives a pro rata fee, based on an annual board member fee of 130.000 SEK for the period up until the next Annual General Meeting.
