The board of directors of Sensys Gatso Group AB (”Sensys Gatso” or the ”Company”) has, in accordance with the Company’s press release earlier today, with support of the authorization granted by the annual general meeting May 12, 2020, resolved on and carried out a new share issue of 53,571,475 shares (the “Directed New Share Issue”). The subscription price of the shares in the Directed New Share Issue amounts to SEK 1.40 per share. To meet the large interest in the new share issue, the Company has chosen to increase the Directed New Share Issue compared with the previously communicated intent to raise SEK 50 million. Through the Directed New Share Issue Sensys Gatso will receive proceeds amounting to SEK 75 million before deduction of transaction costs. Investors in the new share issue are a number of institutional investors, family offices and private investors.

Sensys Gatso USA Announces the Fulfillment and Finish of the Oklahoma Uninsured Vehicle Enforcement Diversion (UVED) Contract
After nearly two years of providing a fully managed, automated number plate recognition (ANPR) program to identify uninsured vehicles on Oklahoma roads, Sensys Gatso USA and the Oklahoma District Attorneys Council (DAC) are mutually parting ways with regard to this effort.

Gatso Special Products B.V. informerar Sensys Gatso Group om avsikten att konvertera amortering på 1 miljon EUR till aktier
I samband med förvärvet av Gatso Beheer under 2015 ställdes det, som en del av köpeskillingen, ut en revers om cirka 6,8 miljoner EUR. Reversen kan under vissa förutsättningar konverteras till nya aktier i Sensys Gatso Group. Per den 30 juni 2020 uppgick utestående revers till 2,84 miljoner EUR.

Gatso Special Products B.V. informs Sensys Gatso Group about the intention to convert the installment of EUR 1 million of the Vendor loan into shares
In connection with the acquisition of Gatso Beheer B.V. in 2015 a vendor note of approximately EUR 6.8 million was issued as part of the consideration. The vendor loan may under certain circumstances be converted into new shares in Sensys Gatso Group. The remaining part of the vendor loan amounted to a total of EUR 2.84 million per June 30, 2020.

Sensys Gatso receives contract from Saudi Arabia worth SEK 275 million
Sensys Gatso Group, a global leader in traffic safety solutions, has received a new contract from Tahakom in Saudi Arabia. Tahakom is an existing customer from whom Sensys Gatso received its first order in 2018, worth SEK 60 million. The new contract is worth SAR 119 million, corresponding to approximately SEK 275 million.

Sensys Gatso receives Purchase Order for upgrade of technology under an existing TRaaS maintenance services contract to the value of SEK 6.4 million
Sensys Gatso Group, a global leader in traffic safety solutions, through its subsidiary Sensys Gatso Australia, has received a Purchase Order Award that extends the value of an existing TRaffic enforcement as a Service (TRaaS) contract by AUD 1 million, corresponding to SEK 6.4 million over the next 2 years. This order was received for the upgrade of camera systems for the Australian Capital Territory (ACT) Government. As a result of this order, the existing TRaaS maintenance services provided to the ACT Government will extend to a total contract value of services of AUD 1.45 million, corresponding to SEK 9.3 million over the next 2 years.
