The Nomination Committée of Sensys Gatso Group, a global leader in traffic safety solutions, submits the following proposals for resolution at the Annual General Meeting of shareholders on May 15, 2023, with regard to the number and election of members of the Board of Directors.

The shareholders of Sensys Gatso Group AB (publ) reg no 556215-4459, (the “Company”) are hereby invited to the Annual General Meeting on Monday 15 May 2023 at 10.00 (CET) at the Company at Vasavägen 3c in Jönköping.

The Board of Directors of Sensys Gatso Group, a global leader in traffic safety solutions, intends to propose an 80:1 reverse share split to the Annual General Meeting 2023. As we continue to expand our global business, Sensys Gatso is entering a new phase and now aims to attract additional international investors. The Notice to the AGM will be distributed shortly.

Sensys Gatso Group, a global leader in traffic safety systems, through its subsidiary, Sensys Gatso Sweden, has received an order for the supply and support of traffic enforcement systems from its Thailand partner Vision One Co., Ltd to be used by the Royal Highway Police. The order has a value of SEK 5.6 million.

Sensys Gatso Group, a global leader in traffic safety solutions, through its subsidiary Sensys Gatso LATAM, has received a new order for the supply and support of traffic enforcement systems from its partner to be implemented in the municipalities of Balzar, La Concordia, Salinas and San Vicente, Ecuador. The order has a value of approximately SEK 7.4 million. This is the third order for Sensys Gatso in Ecuador, in the strategic LATAM Region, after the two previous projects in 2022.

Sensys Gatso Group, a global leader in traffic safety solutions, through its subsidiary, Sensys Gatso USA, has received a seven-year base-term automated school zone speed enforcement contract from the City of Parma Heights. The contract is estimated to be worth up to USD 1,3 million, corresponding to SEK 13 million. The program is anticipated to contribute to revenue in 2023.

Sensys Gatso Group, a global leader in traffic safety solutions, through its American subsidiary Sensys Gatso USA, signed a five-year, Traffic-Enforcement-as-a-Service (TRaaS) contract extension with Homewood, IL valued at approximately USD 950,000 over the contract period, corresponding to approximately SEK 10 million.
